Terms and Conditions for DealScan

These Terms of Service ("Terms") govern your use of DealScan at https://www.reviewagreement.com ("Service"). By creating an account or using the Service, you agree to these Terms.

1. What DealScan is — and is not

DealScan analyzes brand-deal and UGC contracts and flags clauses that differ from market standards, with plain-English explanations, estimated dollar impact, and suggested counter-asks, plus a rate benchmark for your fee.

DealScan is NOT a law firm and does NOT provide legal advice. Analyses are automated, data-informed second opinions. No attorney-client relationship is created. Benchmarks and dollar estimates are directional, not guarantees. For significant deals, have a qualified lawyer review the final contract.

2. Eligibility and accounts

You must be at least 18 years old. You're responsible for activity under your account and for keeping your sign-in method (Google account or email) secure.

3. Purchases, credits, and subscriptions

Payments are processed by Stripe. One-time purchases grant review credits (one credit = one contract analysis; credits don't expire). Subscriptions grant unlimited analyses while active and renew monthly until cancelled; you can cancel anytime from the billing page and keep access through the end of the paid period.

If an analysis fails to complete, the credit is automatically returned. For other refund requests, contact us within 7 days of purchase at hello@reviewagreement.com — unused credits and duplicate charges are refunded; completed analyses are generally not.

4. Your contracts and our license

You keep all rights to the contracts you upload. You grant us a limited license to store and process them solely to provide the Service to you. You confirm you're allowed to upload the documents you submit. We may use de-identified, aggregated deal terms (e.g., typical rates per deliverable) to improve our benchmarks — never in a form that identifies you or a counterparty.

5. Acceptable use

Don't misuse the Service: no unlawful use, no attempting to breach or overload it, no reselling analyses as your own service, and no uploading content you have no right to process.

6. Disclaimers and limitation of liability

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, DealScan is not liable for indirect or consequential damages — including decisions you make about a contract based on an analysis — and our total liability is capped at the amount you paid us in the 12 months before the claim.

7. Termination

You can delete your account (and all your data) anytime from the billing page. We may suspend or terminate accounts that violate these Terms.

8. Privacy

How we handle your data is described in our Privacy Policy at https://www.reviewagreement.com/privacy-policy.

9. Governing law

These Terms are governed by the laws of [GOVERNING JURISDICTION].

10. Changes

We may update these Terms; material changes will be announced by email to account holders.
